Industry practice suggests that a large share of hedge funds trading in repo markets put up zero collateral, meaning they are fuelling activity using enormous amounts of cheap debt. A looming rule by the U.S. Securities and Exchange Commission would expand the use of central clearing in the cash Treasury and repo market. SEC chair Gary Gensler recently promoted the benefits of central clearing and pointed to data showing high levels of repo trades transacted at zero haircuts. James Tabacchi, CEO of South Street Securities, called zero haircuts a "race to the bottom" and not healthy for markets. However, some market participants have voiced concerns that some of the proposed reforms could be a hurdle for some investors, potentially undermining the goal to improve liquidity and resilience in the Treasury market.

Oct 30 (Reuters) - Realty Income (O.N) said on Monday it would buy Spirit Realty Capital (SRC.N) in an all-stock deal valued at $9.3 billion as it looks to expand its real estate portfolio. Commercial real estate, especially offices, has been hit by interest rates hikes and workers choosing to stay at home. The combined portfolio is expected to result in reduced rent concentration for Realty Income's clients, while increasing the combined portfolio's annualized contractual rent from $3.8 billion to $4.5 billion, Realty Income said. Wells Fargo is the financial adviser to Realty Income, while J.P. Morgan Securities and Morgan Stanley & Co are serving as financial advisers to Spirit Realty. Spirit Realty primarily invests in single-tenant real estate assets given on long-term leases.

(Reuters) - Realty Income said on Monday it would buy Spirit Realty Capital in an all-stock deal valued at $9.3 billion as it looks to expand its real estate portfolio. Shares of Realty Income are down 1.7% at $48.4 in premarket trading, while Spirit Realty was up 11% at $35.91. Under the terms of the agreement, Spirit shareholders will receive 0.762 newly-issued Realty Income common shares for each Spirit common share they own. Wells Fargo is serving as the financial adviser to Realty Income and J.P. Morgan Securities and Morgan Stanley & Co are serving as financial advisers to Spirit Realty. The deal is expected to close during the first quarter of 2024.

(Reuters) - U.S. law firm Paul Hastings said Thursday that it has hired two partners from rival Goodwin Procter as practice leaders in New York and Washington, D.C.Seo Salimi is departing Goodwin after more than eight years to co-lead Paul Hastings' equity capital markets and corporate life sciences practices in New York. His clients have included Karuna Therapeutics, CRISPR Therapeutics, Goldman Sachs and J.P. Morgan Securities, according to his former profile on Goodwin's website. June 26 (Reuters) - Prologis Inc (PLD.N) said on Monday it has agreed to buy 14 million square feet of industrial properties from real estate funds affiliated with Blackstone (BX.N) for $3.1 billion in an all-cash deal. It currently owns 1.2 billion square feet of logistics real estate in 19 countries. With near record-low vacancy, logistics remains a high conviction theme for us," Nadeem Meghji, head of Blackstone Real Estate Americas, said. Prologis and Blackstone have completed more than a dozen transactions together in the past 11 years, according to the statement. The Securities and Exchange Commission fined the broker-dealer subsidiary of JPMorgan Chase $4 million for accidentally deleting about 47 million emails from early 2018, according to an administrative order Thursday. Some of those deleted emails were sought by subpoenas in at least a dozen regulatory investigations, but could no longer be retrieved, the SEC order against J.P. Morgan Securities LLC noted. Many of the emails were "business records required to be retained pursuant" to federal securities law, the order said. The firm had submitted a settlement offer in anticipation of administrative proceedings related to the deletions, and the SEC accepted that offer. In its order Thursday, the SEC noted JPMorgan in 2016 began a project "to delete from its system older communications and documents no longer required to be retained."

Nasdaq said buying Adenza is expected to increase the medium-term organic revenue growth outlook for its Solutions Businesses, which designs and develops financial software for investors, from 7%-10% to 8%-11%. It intends to issue about 14.5% of its outstanding shares to the owners of Adenza, which is controlled by Thoma Bravo. Adenza, which makes software used by banks and brokerages, is expected to hit about $590 million in annual 2023 revenue, Nasdaq added. The upbeat results came on the back of the company's $2.75 billion deal for anti-financial crime software firm Verafin. Goldman Sachs & Co. LLC and J.P. KKR to take machinery maker Circor private in $1.6-bln deal

June 5 (Reuters) - KKR & Co Inc (KKR.N) said on Monday it will buy industrial machinery maker Circor International Inc (CIR.N) in a $1.6-billion deal and take it private, as the private equity firm looks to double down on investments in the flow-control market. Flow-control products help manage and control liquids and gases using equipment or services such as pumps, valves, compressors and meters. Circor, which has about 3,100 employees, makes pump and valve systems for sectors including oil and gas, industrial, aerospace and defense. "KKR will help us expand our presence in the flow-control space," Circor's Chief Executive Officer Tony Najjar said. Evercore, J.P. Morgan Securities LLC and Ropes & Gray LLP advised Circor, while Citi and Kirkland & Ellis LLP were KKR's advisers.

May 18 (Reuters) - Charles Schwab Corp (SCHW.N) is looking to raise up to $2.5 billion through a debt offering, the brokerage said on Thursday as more companies aim to benefit from investors trying to capitalize on a spike in yields. The Texas-based company will raise the debt in two parts, via notes due in 2029 and 2034 and will use it for its corporate needs. If held to maturity, the 2029 notes would yield 205 basis points more than the benchmark, risk-free U.S. 5-year Treasury , while the yield on 2034 notes would be 227 bps above the U.S. 10-year Treasury yield. On Wednesday, Pfizer Inc (PFE.N) announced its largest debt offering of $31 billion to fund its proposed acquisition of Seagen Inc (SGEN.O). BofA Securities, Citigroup, Credit Suisse Securities, Goldman Sachs, J.P. Morgan Securities and Wells Fargo Securities are the joint book-running managers for the offering.
Bischoff died on Tuesday of natural causes, a close relative, who asked not to be named, told Reuters on Wednesday. A former chairman of Lloyds Banking Group (LLOY.L), Citigroup (C.N) and more recently JP Morgan Securities (JPM.N), Bischoff had also been CEO of Schroders (SDR.L). Robert Swannell, former chairman of Marks & Spencer, who worked with Bischoff for 33 years at Schroders and later Citi, said he would profoundly mourn his friend and colleague. The deal was hailed as a huge success for Bischoff's leadership team, having started with a business worth just a fraction of the 1.3 billion pounds price Citi later paid. He returned to JP Morgan as chairman of JP Morgan Securities the same year.

Feb 24 (Reuters) - Incoming Bank of Japan (BOJ) Governor Kazuo Ueda said on Friday it was appropriate to maintain ultra-loose monetary policy as inflation has yet to sustainably and steadily meet the central bank's 2% target. "I think he's intentionally doing that, so that the market will calm down a little bit about policy change expectations." "I don't think Ueda has the same stance as (Haruhiko) Kuroda but it is not clear whether Ueda would tweak the BOJ policy as the market expected." To stimulate lending, growth and inflation, the Bank of Japan has pinned short-term interest rates at -0.1% and 10-year yields around zero since 2016. That swap yield may indicate where the 10-year bond could be if the BOJ left the market alone. TOKYO, Jan 13 (Reuters) - Yields on Japan's benchmark 10-year government bonds breached the central bank's new ceiling on Friday in the market's most direct challenge yet to decades of uber-easy monetary policy. The central bank already holds 80% to 90% of some bond lines. REMEMBER THE RBAThere is talk in the markets that the central bank could shorten its yield target to three- and five-year bonds, but history abroad suggests the strain will remain. With the local economy recovering faster than expected and inflation accelerating, the RBA realised its pledge to keep three-year yields at 0.1% out to 2024 was no longer credible. So it abruptly dropped the whole thing and three-year yields spiked to 0.48%, an episode the RBA itself conceded caused "reputational damage" that would not be repeated.
